Le 20 mai 2026, SpaceX a d\u00e9pos\u00e9 aupr\u00e8s du r\u00e9gulateur boursier am\u00e9ricain son dossier officiel d’introduction en bourse, visant une cotation sous le code SPCX<\/strong> sur le Nasdaq le 12 juin prochain. La valorisation cible : 1 800 milliards de dollars<\/strong>. Ce serait la plus grande introduction en bourse de l’histoire, devant Saudi Aramco (25,6 milliards lev\u00e9s en d\u00e9cembre 2019). SpaceX cherche \u00e0 lever 75 milliards en une seule op\u00e9ration.<\/p>\n\n\n\n

Le probl\u00e8me que soul\u00e8vent de nombreux analystes : en 2025, SpaceX a g\u00e9n\u00e9r\u00e9 18,7 milliards de chiffre d’affaires et perdu 4,94 milliards<\/strong>. La valorisation cible repr\u00e9sente 94 fois son chiffre d’affaires annuel<\/strong>. Pour comparaison, Apple se n\u00e9gocie autour de 10 fois le sien. Microsoft autour de 9 fois.<\/p>\n\n\n\n

Pourquoi \u00e7a m\u00e9rite votre attention<\/h2>\n\n\n\n

La m\u00e9thode utilis\u00e9e par les banques d’affaires pour justifier cette valorisation s’appelle le march\u00e9 adressable total<\/strong>. Le raisonnement : si SpaceX capture un jour des parts significatives d’un march\u00e9 potentiel de 28 000 milliards de dollars<\/strong> (la taille de l’\u00e9conomie am\u00e9ricaine enti\u00e8re), alors la valorisation actuelle est justifi\u00e9e. C’est une projection de futur imaginaire vendue comme argument financier.<\/p>\n\n\n\n

Ce type de raisonnement est bien connu dans le monde du capital-risque : plut\u00f4t que de mesurer ce que vaut l’entreprise aujourd’hui, on valorise ce qu’elle pourrait<\/strong> valoir si tous les sc\u00e9narios optimistes se r\u00e9alisaient simultan\u00e9ment. La diff\u00e9rence ici, c’est que SpaceX n’est pas une startup de garage : c’est une entreprise de 18 milliards de revenus. Ce glissement d’une logique de croissance sp\u00e9culative vers une entr\u00e9e en bourse grand public est ce qui a suscit\u00e9 les interrogations les plus vives dans la presse \u00e9conomique mondiale.<\/p>\n\n\n\n

Le dossier r\u00e9v\u00e8le en r\u00e9alit\u00e9 trois activit\u00e9s radicalement diff\u00e9rentes<\/strong> vendues sous un seul chiffre. Starlink, le r\u00e9seau internet par satellite : 11,4 milliards de revenus, rentable<\/strong>. Les lancements de fus\u00e9es : 4,1 milliards. Et la division intelligence artificielle issue de la fusion avec xAI : 3,2 milliards de revenus, mais 6,4 milliards de pertes op\u00e9rationnelles<\/strong>. Les activit\u00e9s g\u00e9n\u00e9rant un r\u00e9el profit ne repr\u00e9sentent, selon les analystes, pas plus de 7 % de la valorisation propos\u00e9e aux investisseurs.<\/p>\n\n\n\n

Les premiers actionnaires de SpaceX sont entr\u00e9s quand l’entreprise \u00e9tait valoris\u00e9e \u00e0 quelques milliards. Les derniers, en d\u00e9cembre 2025, ont pay\u00e9 sur une base de 800 milliards. Une entr\u00e9e en bourse \u00e0 1 800 milliards repr\u00e9sente pour chacun d’eux un multiple de sortie tr\u00e8s diff\u00e9rent. Le prix demand\u00e9 aux acheteurs publics int\u00e8gre toutes ces primes.<\/strong><\/p>\n\n\n\n

Ce que la plupart des gens ignorent<\/strong> : une valorisation n’est pas une mesure objective. C’est un argument financier construit<\/strong> pour qu’une transaction ait lieu. Les banques ne cherchent pas la \u00ab juste valeur \u00bb de SpaceX : elles construisent le r\u00e9cit le plus convaincant possible pour que l’op\u00e9ration soit souscrite. Comprendre la m\u00e9canique de ce r\u00e9cit, c’est comprendre comment se fixe le prix de n’importe quelle entreprise.<\/p>\n\n\n\n
